While that hat looks awesome, I think it's a bit too busy/detailed and doesn't really fit with the TF2 style that well. Perhaps less contrast in the camo and some removed details would help.

Edit: Oh wow, I didn't expect that. So, are you going to put on a badge or not? Looks awesome for now, but the brightness and contrasting of the orange badge would make it even better.

I'd ditch the camouflage entirely if I were you, to keep consistent with the rest of the texturing. Already then you'd have more detail than the helmet, which is purely monocolour.
Oh man, just checked this thread after a couple of days of not looking, and what can I say? Consistently excellent is about all I can think of. Stylish and fitting, yet uncomplicated and pure. I will be very surprised if this doesn't get in.
I signed up here just to trawl through these forums and offer help and feedback since I have over 1000 hours clocked in TF2, but if you put a tutorial up on how you do even some of the things you've accomplished here I would definitely stick around and try my hand at modelling (which I've been meaning to do for ages).
Don't ditch the paint strokes, but I'd suggest severely toning them down. That's way too over the top for a non-painted hat (such as the Tyrants Helm)
Also I believe the round metal holes on the side should be modelled on, and the black lines should be thinner. That should bring it more into the TF2 style, because at the moment it's making me want to play Borderlands.

no offence to Valve (and I hope they don't read this till after judging) but the quilty of your texture work here is better than half the stuff in the game.

I totally agree. Your stuff looks too nice for it's own good. Good luck, I really hope to get a chance to play with this stuff.
Now I know it's already the last day, but could you just post for us an in game video? That would be awesome to see what will be in-game before it's added.

Skamberin - I'm not sure if i have one but my philosophy is always keeping things simple.
Cleaned up the hat, made the flag yellow. (did you know there is only one color flag?)
