way way WAY too many polys in the head as opposed to the rest of her. try putting a black material on her and just observe her silhouette. Might give you a better idea what areas you need to be spending the polys.
Great start I always find it easier to build the model a little higher poly and get the shape how I want it and then optimise from there. In Max selecting edges and pressing shift backspace is your friend.

Couple of minor crits: Her chin looks really fat, maybe pull those verts in a bit, or it could just be lack of shadow under her jaw on the texture.
Also why do the ears have so much texture space? That ear has nearly as much space as the front of her face, seems a bit unnecessary - I reckon you can probably get away with putting the ear UVs on the side of the head.
yeah i suck when it comes to uvmapping humans im so used to more inorganic objects like mail boxes and stuff. thanks for the crits ill work on the head texture a little more and add some shadow under her chin ill also see if pulling in some verts will help.
If you have some triangles left, I'd definitely spend those on the bottom of the jacket on the sides. That should help make the silhouette more recognizable.

added a few polies to the player, started on the accessories i dont have time to uvmap them tonight i got work at 5 am tommorow so i need to get some sleep
Try get rid of the seam on the neck in your textures, its easy to do at this res, pic the color from the chest then make your neck that color at the seam edge and taper it into the shadow. Bump up the contrast a bit and try sharpen it once or twice, that should make the textures pop a bit more.
i really enjoyed modeling her i guess i dont really need to put as much into it as i would a higher poly model but i love it :P ill try to fix the seam.
my first low-poly character ever!!! came out great i had tons of fun working on it and i did learn alot from it. hope to enter more contests over here at polycount
