  About half way down "Gary D'Arcy" explains a similar problem with AutoCAD.
  
  My guess, probably a plug-in that's not fully compatible or your maxstart.max file has an issue and should be replaced/removed.
  - Reinstall
  - Update video drivers
  - Shut down things that are running in the background using task manager and google to figure out which services are needed and which aren't.
  - Contact Autodesk support =P

  Also update to the latest service pack which is 1 I believe for 2009. (also read it might be a plugin?)
