3dsmax 2008: start up fails. process is running.

I think title tells almost all of it. I havn't done anything.. I tried with different user but splash screen doesnt appear. while task manager shows process running and it doesnt show max in running applications. This issue started just now.. I wonder what has happened. meanwhile i did a scan and windows security update as well. restarted but its still there.
I am max 2008 on WinXP64 sp2
C2Q 6600 (2.4) 2 Gs ram and quadro fx 560.
