Ok, this is something that has been bothering me for a while and have been too lazy to fix. Ever since I got my 4870 all objects in one viewport would go transparent. Which viewport it is can be changed by using the Maximize Viewport button in the lower right corner of max.
This is a default material in both a perspective and ortho viewport.
This doesn't happen when max is in OpenGL mode, however.
I'm on Vista 64 bit, I have a 4870 512mb, a C2D E8400 running at 4ghz, 4gb ram, the latest ATI drivers and directx, and am running max 2008. The problem also occurs on max 8, 9, and 2009, however.
I need to maximize the perspective viewport a lot and never figured out how to fix this, so any help is greatly appreciated.

Xoliul, I never noticed before but I can't see objects through other objects. So yes, it appears that its making the material darker and drawing the lines and grid on top.
/sorry should have read more carefully. ^^
I had the same problem, and it turned out that because I had changed the 3d settings of my graphic's card in the catalyst center it created this mess.
When I click on reset to default values, everything worked again!
One roll-back session avoided!! Woo-hoooo!!!!:)
