Frankly I stink at hl2 modeling and was wondering if
any one can convert this hl1 model 2 a usable hl2 format
much greatfull

Most people here pride themselves on the fact that they create thier own content and learn as much as possible on thier own before asking for help.

The important thing to remember is that there is a differance between asking for help/guidance and out right asking someone to do all the work for you. I doubt anyone will convert the model for you.

I know I won't do it because I would have to learn how to export HL2 models and I ask myself "If someone has to learn this, shouldn't the guy asking the question learn it since I have no interest in exporting HL2?"

sorry if this sounds mean but its the reason no one has taken up the torch and done the work for you yet. People just don't want to sound like an A-hole by posting it.
