Bit of a long shot as I don't have the file to look at but you may want to run a vertex weld across your model, sometimes objects or uv shells become disconnected when importing/exporting. You might not notice it when uv'ing but it can cause issues if not spotted.
Might not be that at all, but it can't hurt to check.
Yeah, i did that after i thought it might be misaligned. but there was no errors, i loaded up the uvs correctly in max and imported into mudbox...but nothing helps
Sometimes it is better to take 10 steps back and start again than bash your head against a brick wall of a problem. Redoing your uvs will take less time than trying to fix them.
