You can try creating a box around the items, parenting your mesh and rig to it, scaling the box down, resetting it's XForm and then unparenting your rig/mesh.
I deleted the mesh because I was importing a duplicate mesh from a UVW mapping prog. I needed the Name,parental link and the animation that was associated with that object.
I don't know for max.. if you can attach geometry to a particle, can't you parent a light to a dummy, then clone the hierachy and them attach it/them to particles?
Two solutions in my first reply. Either switch rotation controller to not use Quaternion. Or use hierarchy to abstract rotation axes. If the latter, align the parent to the child, before linking.
It sounds like something is position constrained but not parent or orientation constrained. I don't have time to check your file but off the top of my head, that sounds like the issue.
